LLC «Fintech Band,» the technological developer and operator of Ukraine’s leading neobank Monobank, has undergone a radical structural transformation over its years of operation, shifting from a localized industrial enterprise in Dnipro to a highly consolidated framework anchored in Cypriot jurisdictions. State corporate registry records reveal that extensive restructuring initiatives executed between 2020 and 2026 have effectively concentrated control within a limited group of key founders while progressively shifting the corporate architecture toward international holding structures.

The origins of the digital banking giant date back to 2003, when the entity was initially incorporated under the name LLC «Khimstal-M,» a company focused entirely on heavy industry and metal trading rather than financial technology. In its early phases, the enterprise was established by private individuals Andrey and Tetyana Salnyk, later passing to Victoria Davydenko and Oleg Osaulenko. Between 2012 and 2016, corporate control shifted to the Gebert family. Throughout this initial era, the company operated with a minimal authorized capital, frequently shifting its registered corporate address across various locations within the city of Dnipro.
A definitive pivot occurred in January 2017, when the corporation rebranded as LLC «Fintech Band» and initiated a multi-stage capital injection, aggressively scaling its authorized capital from nominal figures up to a peak of 250 million UAH. This financial restructuring coincided with the arrival of a new ownership cohort consisting of top executives from the nationalized PrivatBank, including Oleh Gorokhovsky, Dmytro Dubilet, Oleksandr Dubilet, Vadym Kovalyov, Mykhailo Rogalsky, and Volodymyr Yatsenko. This management team launched Monobank, positioning it to operate utilizing the banking license of JSC «Universal Bank,» owned by prominent Ukrainian financier Sergiy Tigipko.
The period spanning 2020 to 2021 was characterized by structural optimization and the high-profile departure of several founding members. In January 2020, the entity abruptly downscaled its authorized capital from 38 million UAH to just 1 million UAH. By March 2021, amid widening financial investigations involving former management, Lyudmyla Shmalchenko and Volodymyr Yatsenko officially exited the corporate structure. Their shares were transferred to Darya Bukreeva, identified by industry analysts as a close relative of Shmalchenko, while the company simultaneously relocated its headquarters to Sicheslavska Naberezhna in Dnipro.
Beginning in 2024, Fintech Band’s ownership model took on a distinct international dimension with the introduction of its first offshore entity, the Cyprus-registered Crestline Limited. The externalization process accelerated in 2025 through a comprehensive equity overhaul. A second Cypriot entity, Nisets Limited, was integrated into the shareholder ranks, while Oleksiy Dubilet and Vadym Kovalyov entirely relinquished their direct beneficiary statuses.
The consolidation process reached its final phase in early 2026. Registry entries indicate that on February 25, 2026, Nisets Limited formally exited the partnership. Notably, public records indicate that this entity shared the exact same legal address in Cyprus as Crestline Limited, which remains under the direct oversight of Monobank co-founders Oleh Gorokhovsky and Mykhailo Rogalsky.
Concurrently, primary payment and technology subsidiaries within the Monobank ecosystem are now governed by offshore entities Oakworth Limited and Fernly Limited, both operating under the direct administration of Gorokhovsky. Market analysts suggest these maneuvers underscore a long-term strategy designed to mitigate domestic regulatory risks, safeguard the core banking application backend, and align the fintech’s capital distribution channels with global holding standards.
